특허권의 효력을 제한하는 대표적인 법리중의 하나인 특허 소진법리는 우리나라뿐만 아니라 일본, 미국 등 대부분의 국가에서 적용되고 있다. 특허 소진 법리는 각국의 특허 정책이나 거래 현실에 따라 소진 법리의 적용 범위가 달라진다.
미국의 경우, 특허 관리 회사가 특허 제도를 악용하여 폭리를 취하는 것에 대한 반작용으로 특허권자의 권리 남용 행위를 규제하는 국가적 컨센서스 하에 Anti-Patent흐름으로 돌아서면서 특허권 보호가 제한되고 축소되는 경향이 뚜렷하며 이와 연동되어 특허권의 남용을 방지하는 수단과 제도가 강화되고 있으며 그 일환으로 특허 소진 법리 또한 그 적용 범위가 확장되고 있다.
실제로 미국 연방 대법원은 최근 Impression v. Lexmark 대법원 판결을 통해 미국의 특허 소진 법리를 임의 규범적 소진 법리에서 강행 규범적 소진 법리로 극적으로 전환시켰다. 당사자간의 합의된 조건을 불문하고 최초 판매 시점에 무조건 특허권의 효력을 소멸시킨다는 법리를 택하였다. 종래에는 당사자간 합의 결과에 따라서는 소진법리 적용을 배제할 수 있었던 것에 비하면 이번 Impression판결은 기존과는 정반대 법리를 취하고 있어 앞으로 귀추가 주목된다.
더욱 큰 변화는 특허권자의 판매뿐만 아니라 실시권자의 판매에 의해서도 그 즉시 특허소진 법리를 적용함으로써 오히려 우리나라나 일본보다도 더 강력한 강행적 소진법리를 취하고 있다는 점이다. 우리나라나 일본의 경우, 특허권자와 실시권자간 합의에 의해 실시권의 범위를 제한하는 조건을 부가하여 실시권을 설정할 수 있으며 이 설정된 실시권 범위를 벗어난 제3자 내지 전득자의 실시행위는 특허 침해를 구성한다. 다시 말해 특허권자 또는 실시권자가 실시권 설정 조건을 통지하거나 제품에 표시함으로써 제3자에게 알리거나 알 수 있도록 하였다면 실시권 조건이 제3자에도 유효하게 적용될 수 있는 대세력을 인정하고 있다. 이에 비해 Impression 법원은 실시권자의 판매도 특허권자의 판매와 동일하게 취급하여 실시권자가 판매하는 즉시 특허권 효력은 소멸된 것으로 해석하였다. 조건부 실시권에 의해 특허 소진이 배제될 여지를 완전하게 차단하고자 하는 의도에서 비롯된 것으로 보인다.
특허 관리 회사(NPE 등)의 사업 특성상 직접 사업하기보다는 제조업체 등 제3자에 실시권을 허여함으로써 수익을 올리는 사업 구조를 갖고 있으므로 이를 원천적으로 차단하기 위한 강경책이라고 할 수 있다. 실시권의 설정 범위를 불문하고 실시권자가 특허품을 판매하면 바로 소진시키기 때문이다. 더욱이 Impression 판결에서 국제 소진론까지 도입함으로써 해외 어디에서든 판매하였다면 미국 특허도 소진되므로 더욱 더 강력하게 특허관리 회사의 특허권 효력을 제한할 수 있게 되었다.
이러한 맥락에서 특허 소진 법리를 강행 규범으로 적용하는 것은 필요에 따라 정책적으로는 일견 타당성이 있을 수 있으나 지금까지 축적된 판례와의 충돌이 불가피한 상황이다. 이번 Impression 대법원 판결에서는 기존 대법원 판결을 명시적으로 번복(overrule)한 것은 아니지만 어찌 되었든 Impression 판결 내용에 비추어 보면, 결과적으로 기존의 대법원 판결들이 실질적으로는 폐기되었다고 할 수 있다. 미 연방 대법원이 1852년 소진 관련 최초로 판결한 Bloomer v. One of fundamental principle for restriction on monopoly power of patent is a doctrine of patent exhaustion, which is adopted in many countries including US, Japan, Korea and so on. That being said, the scope of the exhaustion doctrine differs from jurisdiction and patent policy in each country. Indeed, there used to be split among jurisdictions between mandatory exhaustion theory and arbitrary exhaustion theory. Mandatory exhaustion theory means that a patent shall be exhausted mandatorily and immediately after a patentee sell a patented article regardless any contractual restriction on the sale between the patentee and a buyer. In other words, mandatory exhaustion theory applies the first sale doctrine as is. Meanwhile, arbitrary exhaustion theory means that a patent could be arbitrarily exempted from exhaustion scrutiny in accordance with contractual restriction on the sale. In other words, the patent is not subject to exhaustion doctrine until it turns out that the sale by the patentee is unconditional or has no condition or restriction on a sale.
In the meantime, however, things changed when US Supreme Court rendered Impression ruling on May 30, 2017. These days United States are moving towards anti-patent policy direction. That is, legislative reform as well as judicial reform demand drastic change in patent system as a whole. In particular, the country keep scrutinizing and preventing NPE from exploiting its patents and taking windfall by allegedly patent misuse conduct. In association with the tendency, the US Supreme Court in the case of Impression v. Lexmark dramatically decided a patent shall be exhausted unconditionally once a patentee made first sale of a patented article to others under the first sale doctrine. It is quite a huge change and very contrast extreme position away from traditional doctrine that the Court had consistently taken position of 'arbitrary and conditional exhaustion' as opposed to the 'mandatory and unconditional exhaustion' throughout the cases from Bloomer v. McQuewan (1852) to Bowman v. Monsanto (2013). In other words, Impression Court trigger shifting to unconditional exhaustion from conditional exhaustion. Furthermore, the Court applies the unconditional exhaustion theory to sale by a licensee, which means a patent should be immediately exhausted by a licensee's sale no matter what conditions are implemented in a license agreement. Hence, a patent could be exhausted immediately after a licensee sold a patented article. He or she cannot take advantage of patent value, for instance, by dividing license territory, license period or a field of use any longer since Impression decision demand a patent should be exhausted unconditionally once one of licensees ever sold a patented article. In fact, it could be certainly effective against NPE since it usually raise revenue by way of licensing its patents rather than manufacturing a product by itself. Furthermore, what's worse is that the Court applied an international exhaustion doctrine to overseas sale outside US. Soon after one of licensees granted by NPE sold an article in a foreign county, it is not entitled any more reward in royalty or monetary compensation whatsoever.
Although Impression Court did not expressly overrule the precedents, there are some concern because it obviously cause conflicts with the high profile precedents like Mitchell case law (1872), Boesch case (1890), and Bowman (2013), which stated that where the sale is conditional, the rule is well settled that exhaustion doctrine, or first sale doctrine is not applicable.
